Terms of Service

1. Acceptance of Terms

By accessing baliyotech.com or engaging Baliyo Technologies Pvt. Ltd. ("Baliyo," "we," "us"), you agree to these Terms of Service. If you do not agree, please do not use our website or services. Specific project work is additionally governed by proposals, statements of work, or contracts signed between the parties.

2. Services

We provide software engineering, AI agent development, digital product design, SEO/growth engineering, enterprise systems, and related consulting. Service scope, fees, milestones, and acceptance criteria are defined in writing for each engagement.

Website content is for general information and does not constitute a binding offer until confirmed in a signed agreement.

3. Client Responsibilities

• Provide timely feedback, access, and required materials
• Ensure you have rights to content, data, and credentials shared with us
• Designate a decision-maker for approvals and change requests
• Pay invoices according to the agreed schedule

4. Intellectual Property

Unless otherwise stated in a written contract, upon full payment the client owns the custom deliverables created specifically for that project. Baliyo retains ownership of pre-existing tools, frameworks, libraries, internal accelerators, and generic methodologies used to deliver the work.

Baliyo products (including Nepdora, Sikchu, BiratBazaar, and other proprietary platforms) remain the property of Baliyo Technologies or their respective rights holders and are licensed separately.

5. Payment Terms

Fees, currencies, and payment schedules are specified in the applicable proposal or contract. Late payments may pause delivery. Unless agreed otherwise, deposits are non-refundable once work has commenced. Expenses pre-approved by the client may be billed separately.

6. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in a signed agreement, services and website content are provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement to the fullest extent permitted by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Baliyo shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunities. Our aggregate liability arising from any engagement shall not exceed the fees paid by the client for that engagement in the three (3) months preceding the claim, unless a signed contract states otherwise.

8. Confidentiality

Both parties agree to protect confidential information shared during an engagement and use it only for performing contractual obligations, except where disclosure is required by law or already public through no fault of the receiving party.

9. Website Use

You may not misuse the website, attempt unauthorized access, scrape content in a way that harms service availability, or use our materials to misrepresent affiliation with Baliyo. We may update or discontinue site features at any time.

10. Termination

Either party may terminate an engagement according to the governing contract. Upon termination, the client pays for work completed and approved expenses through the effective date. Clauses on IP, confidentiality, liability, and payment survive termination.

11. Governing Law

These Terms are governed by the laws of Nepal. Disputes shall first be addressed in good-faith negotiation. If unresolved, they may be submitted to the competent courts of Kathmandu / Lalitpur, Nepal, unless a signed contract specifies another dispute resolution mechanism.

12. Changes to These Terms

We may update these Terms periodically. The "Last Updated" date reflects the latest revision. Continued use of the website after changes constitutes acceptance of the revised Terms. Material changes to active client contracts require mutual written agreement.
